RESOLUTION 1999-1:
Cooperation Agreement between
the Andrew Carnegie Free Library
and the Chartiers Valley Partnership

RESOLUTION made this twenty-eighth day of January, A.D. 1999, by and between the Andrew Carnegie Free Library and the Chartiers Valley Partnership, both 501(c)(3) tax-exempt, non-profit organizations located in the Borough of Carnegie, County of Allegheny, Commonwealth of Pennsylvania.

WHEREAS, the Andrew Carnegie Free Library operates, and has operated since May 1, 1901, a Free Library open to the general public;

AND, WHEREAS, the Board of Trustees of the Andrew Carnegie Free Library(hereinafter referred to as "Board") is empowered, by and through a Declaration of Trust agreement executed by Andrew Carnegie on April 20, 1899, to develop appropriate and reasonable measures to protect, maintain, and safeguard the property, held in Trust "for the use and benefit of the people of the Town of Carnegie"(hereinafter referred to as "ACFL Property"), housing a Free Library, Music Hall, Lecture Hall, Civil War Museum, Bookstore, Public Park, and Gymnasium(now used as a Dance Studio);

AND, WHEREAS, the Chartiers Valley Partnership(hereinafter referred to as "Partnership") wishes to launch a major fund-raising campaign seeking grants from private foundations, corporations, individuals, non-profit organizations, and government entities in order to renovate and restore the ACFL Property;

AND, WHEREAS, the Board is desirous of collaborating with the Partnership in order to procure funding and other professional assistance to renovate and restore the ACFL Property.

NOW, THEREFORE, THE BOARD AND THE PARTNERSHIP RESOLVE:

1. Prior to the commencement of fund-raising for any phase of renovation or restoration of ACFL Property, the Board shall approve, during a published meeting agenda item, all projects proposed for that particular phase of renovation or restoration. If all proposed projects, of a particular phase, are not approved, then fund-raising can only commence for approved projects of that particular phase. Prior to Board approval, the Board's appointed representatives shall be permitted access to grant applications, specifications, architectural drawings, financial statements or analyses, and other items and documents related to all proposed renovation or restoration projects. The Partnership agrees to permit the Board's appointed representatives to participate in the programming and planning for the use of the ACFL building and property.

2. The Board agrees to permit the Partnership to administer all funds raised in the fund-raising campaign, for approved renovation or restoration projects. The Board agrees to permit the Partnership to oversee and supervise all approved renovation or restoration projects. The Partnership agrees to keep the Board's appointed representatives fully informed regarding the progress of approved renovation or restoration projects.

3. The Board's appointed representatives shall report to the Library Board of Trustees, regarding the fund-raising and implementation of any and all approved renovation or restoration projects, at Regular, monthly meetings, at intervals of no less than three months.
